Wai Lun graduated with LL.B (Hons) from University of London, U.K. and was admitted to practise in 2008.
Wai Lun began his legal practice with Foong & Partners and was promoted to Senior Associate in 2012. He was admitted as partner of the firm in 2015.
He has acted for both the sell and buy sides in mergers and acquisitions, joint ventures as well as share and business acquisition and disposal transactions in various industries, including manufacturing, healthcare and property development. Wai Lun also has experience in advising on take-overs (including by means of a scheme of arrangement and selective capital reduction and repayment) for offerors as well as offerees.
Wai Lun has been involved in capital markets work, including advising on initial public offerings in Malaysia and other fund-raising exercises such as rights issues, bonus issues, share placements, employee share option schemes and other security-related issuances. He also advises public listed companies on compliance-related issues.
He has also advised distressed companies (both public and private) and white knights in corporate restructuring and corporate rescue exercises, including on regularisation plan for listed issuers who have been classified as PN17 issuer.
Some of the notable transactions that Wai Lun has advised on are the various various acquisitions of kidney dialysis centres located throughout Malaysia by DVA (Malaysia) Sdn Bhd, a division of DaVita HealthCare Partners Inc. (a company listed on the New York Stock Exchange), the offering and listing of Tune Protect Group Berhad, Cengild Medical Berhad, KJTS Group Berhad and Kucingko Berhad on Bursa Malaysia and the private placement by AirAsia Berhad to its major shareholders, involving approximately 16.9% of its enlarged share capital, which raised RM1,006.20 million.
He has acted for OldTown Berhad in the voluntary take-over offer of OldTown Berhad by Jacobs Douwe Egberts Holdings Asia NL B.V. for an aggregate offer consideration of approximately RM1.314 billion.
In relation to corporate and debt restructuring exercises, Wai Lun acted for Lion Industries Corporation Berhad, being the white knight who acquired flat steel business and flat steel assets for the production of hot rolled coils and cold rolled coils from Megasteel Sdn Bhd (Megasteel) for an aggregate consideration of RM606.53 million, via schemes of arrangement pursuant to Section 366 of the Companies Act 2016 undertaken by Megasteel with its secured and unsecured creditors.
Recently, he also acted and advised AirAsia X Berhad in its debt restructuring exercise to restructure and compromise debt of approximately RM64.15 billion to RM200 million via scheme of arrangement under Section 366 of the Companies Act, 2016. He has also acted for Daya Materials Berhad (DMB) in respect of its regularisation plan to regularise its status as a PN17 listed issuer. The regularisation plan involved amongst others, a scheme of arrangement with shareholders of DMB to swap their shares in DMB for shares in a new listing vehicle, Propel Global Berhad (PGB) and the transfer of the listing status by DMB to PGB, the restructuring and settlement of debts of approximately RM314.8 million with existing secured creditors of DMB and its subsidiaries and fund raising exercise through a private placement of ordinary shares in PGB to raise proceeds of up to RM250 million.
He has also been involved in some property related transactions and banking and finance work.
